Terms of use

Whatnot Metrics is an independent bookkeeping tool for Whatnot sellers. These are the terms for using it, written to be read rather than skimmed past.

This page is written in plain language to describe how Whatnot Metrics works right now. It has not been reviewed by a lawyer and it is not a final legal document. Wording will change when review is done.

We are an independent tool

Whatnot Metrics is built and operated by an independent team. It is not affiliated with, endorsed by, or sponsored by Whatnot, Inc. “Whatnot” is used here only to describe what our software is compatible with, and any Whatnot trademark belongs to its owner. We have no partnership, API agreement or data-sharing arrangement with Whatnot.

Beta software, provided as-is

Whatnot Metrics is in beta. Features change, screens move, and imports and calculations may be wrong. The software is provided “as is” and “as available”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability.

Check anything that matters against your own Whatnot reports before you act on it. If our number and Whatnot’s payout disagree, Whatnot’s payout is the one that is real.

Your Whatnot account is yours to look after

  • You are responsible for your own Whatnot account and for complying with Whatnot's Terms of Service and seller policies.
  • You may only upload reports for a Whatnot account you control. Do not upload another seller's data.
  • You are responsible for the accuracy of what you enter, and for keeping your Whatnot Metrics sign-in credentials to yourself.
  • You are responsible for your own tax and accounting obligations. Whatnot Metrics produces numbers; it does not file anything for you.

Whatnot Metrics will never ask for your Whatnot password and never signs in to whatnot.com on your behalf. If anything claiming to be Whatnot Metrics asks for your Whatnot credentials, it is not us.

We are not a party to your Whatnot transactions

Sales, payments, shipping, refunds, chargebacks and disputes happen between you, your buyers and Whatnot. Whatnot Metrics takes no payment for your sales, holds no funds, ships nothing and cannot alter, cancel or refund a Whatnot order. What you see here is a record built from your own reports and entries, kept for your own bookkeeping.

Not professional advice

Profit figures, break-evens, forecasts and suggestions in Whatnot Metrics are calculations over your own data. They are not tax, legal, accounting or investment advice, and no result here is a recommendation about how to run your business.

Acceptable use

  • Do not use Whatnot Metrics to do anything that breaks Whatnot's rules, including automating Whatnot activity or messaging buyers without their consent.
  • Do not upload data you do not have the right to upload.
  • Do not attempt to reach another workspace's data, probe our systems, or work around limits and access controls.
  • Do not resell, rent out or repackage Whatnot Metrics as your own service without a written agreement with us.

Plans, billing and cancelling

  • Paid plans are billed through Stripe on the interval shown at checkout.
  • You can cancel at any time from Settings. Cancelling stops the next charge and leaves you access until the end of the period you already paid for.
  • We do not refund partial periods except where the law requires it.
  • Prices and plan limits can change; we will tell you before a change affects a period you have already paid for.
  • Cancelling does not delete your data. Deleting is a separate, deliberate action you take in Settings.

Changes, downtime and ending the service

Because this is beta, we may add, change or remove features, and there will be downtime. We aim to give notice before anything that would destroy data or break a workflow you depend on.

You can stop using Whatnot Metrics and delete your workspace whenever you like. We can suspend or close an account for abuse, non-payment or illegal use; except where the law or an active investigation prevents it, we will give you a chance to export your data first.

Limitation of liability

To the fullest extent permitted by law, Whatnot Metrics is not liable for indirect, incidental, special or consequential damages, lost profits, lost sales, or losses arising from reliance on a number the software produced. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim.

Nothing here tries to exclude liability that cannot be excluded under the law that applies to you. This section in particular is one that legal review may rewrite.

Privacy and data handling

How we handle your data is set out in the privacy policy and the data policy, which are part of these terms.

Governing law

Governing law and the venue for disputes are not settled yet. That is one of the things legal review will fill in, and we would rather leave it blank than state something we have not decided.
